terms of use.

these terms govern your use of the matter protocol sdk, tooling, and website. matter is alpha software for building trading strategies — you stay in control of your keys and funds, and you carry the trading risk. please read this before requesting access.

acceptance

by accessing the matterprotocol.xyz website, requesting access to the alpha, or using the matter sdk and tooling (together, the "service"), you agree to these terms. in these terms, "matter protocol", "matter", "we", "us" and "our" refer to the team operating the service. if you don't agree, don't use the service.

the service & alpha status

matter is a library of typed trading primitives and a composer for snapping them into strategies, plus a runtime that backtests, paper-trades, and runs them. it is currently in private, invite-only alpha.

that means the service is provided on an evolving basis: interfaces, primitives, and behaviour may change, break, or be withdrawn without notice, and access may be granted, limited, suspended, or revoked at our discretion. we make no commitment that the service will be available, uninterrupted, or error-free during alpha.

eligibility & access

you must be of legal age to enter into a contract in your jurisdiction and legally permitted to use trading and crypto-related software where you are. access is by invitation; the information you give us in the request form must be accurate, and you must keep any credentials we issue confidential. you're responsible for activity that happens under your access.

non-custodial — you stay in control

matter is software you run yourself. you choose the venues, connect the keys, and make every trading decision. matter never holds, receives, or has access to your wallets, private keys, funds, or exchange credentials, and we do not execute trades for you. where and how a strategy runs, and what it is authorised to sign for, is entirely your decision and your responsibility.

matter never holds keys or capital. the binary you build is what you run; securing it, the keys it uses, and the venues it connects to is on you.

trading risk & no advice

trading crypto assets, perpetuals, and other derivatives is high-risk. you can lose some or all of your capital, and leveraged strategies can lose more than you put in. backtest, paper, and historical results do not predict future performance.

matter is a tool for expressing your own market views — it does not supply them. nothing in the service, the docs, or the primitives is financial, investment, legal, tax, or trading advice, and we do not recommend any strategy, asset, venue, or transaction. we do not guarantee the performance, profitability, or correctness of any strategy you build, and the example strategies in our docs are illustrations, not recommendations. you are solely responsible for evaluating your strategies and for the outcomes of running them. seek independent professional advice where appropriate.

acceptable use

you agree not to use the service to:

  • break any law or regulation that applies to you, including securities, derivatives, and financial-services rules;
  • engage in market manipulation, wash trading, spoofing, fraud, or other market abuse;
  • violate sanctions, anti-money-laundering, or counter-terrorist-financing requirements, or use the service from or for the benefit of any sanctioned person or jurisdiction;
  • use the service where it is prohibited by your local law, or to provide regulated services to others without the licences you need;
  • reverse-engineer, resell, or sublicense the service beyond what these terms or your access allow, or attempt to disrupt, attack, or gain unauthorised access to it.

you are responsible for determining whether your use of matter — and any strategy you deploy — is lawful in your jurisdiction.

intellectual property

the matter sdk, primitives, runtime, composer, website, and related materials are owned by us or our licensors and are protected by intellectual-property laws. during alpha we grant you a limited, revocable, non-exclusive, non-transferable right to use the service for evaluating and building your own strategies under these terms. the strategies you author from the primitives are yours; the underlying primitives, runtime, and tooling remain ours.

disclaimer & limitation of liability

the service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, or that the service will be uninterrupted, secure, or error-free.

to the maximum extent permitted by law, matter and its team will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for any trading losses, lost profits, lost funds, or loss of data, arising out of or relating to your use of the service — even if we've been advised of the possibility. nothing in these terms excludes liability that cannot be excluded under applicable law.

you agree to indemnify and hold us harmless from claims arising out of your use of the service, your strategies, or your breach of these terms.

changes, termination & governing law

we may update these terms as matter moves out of private alpha; material changes are reflected in the effective date above, and continued use after a change means you accept it. we may suspend or end your access at any time during alpha. these terms, and any dispute relating to them, are governed by the laws applicable to our operating entity, without regard to conflict-of-laws rules; if you use the service, you accept that framework to the extent permitted by your local mandatory rules.
